Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of ARCED International LLC’s (“ARCED”, “we”, “our”) websites, applications, and services (collectively, the “Services”). By engaging with our Services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to do so.

2. Services

ARCED delivers research, data, and learning solutions tailored to institutional, governmental, and venture partners. Services may be provided under separate statements of work or master service agreements. In case of conflict, these governing documents supersede the Terms herein.

3. Account & Access

• You are responsible for maintaining the confidentiality of credentials issued to you.
• Notify us immediately of unauthorized access or security concerns.
• Access must comply with applicable laws and internal policies of your organization.

4. Acceptable Use

• Do not reverse engineer, copy, or resell ARCED intellectual property without permission.
• Do not upload harmful code, infringing materials, or confidential data without appropriate safeguards.
• Avoid actions that disrupt service availability or degrade performance for others.

5. Confidentiality & Data Protection

Each party agrees to safeguard sensitive or confidential information. ARCED will process personal data in accordance with our Privacy Policy and relevant data protection laws. Additional data processing agreements may be executed where required.

6. Fees & Payment

Fees for services are set out in the applicable agreement or proposal. Unless otherwise stated, invoices are due within thirty (30) days of issue. Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by law.

7. Intellectual Property

ARCED retains all rights to proprietary methodologies, software, documentation, and deliverables developed prior to or independently of the engagement. Unless agreed otherwise, clients receive a non-exclusive license to use deliverables internally. Client-owned data and materials remain the property of the client.

8. Warranties & Disclaimers

We warrant that services will be provided with reasonable care and skill. Aside from express warranties, services are provided “as is” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, ARCED’s aggregate liability under these Terms is limited to the amount paid for the services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate services for material breach if not cured within thirty (30) days of written notice. Upon termination, accrued fees become due, and parties will return or destroy confidential information upon request.

11. Governing Law

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh, unless otherwise agreed in writing.

12. Updates

ARCED may update these Terms to reflect changes in services or legal requirements. We will post updates on this page with a revised “Last updated” date. Continued use of the Services after updates constitutes acceptance.
